Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you (or the entity you represent, "Customer") and Airfree Geospatial Pty Ltd ABN [TBC] ("Airfree Geospatial", "we", "us"), a company incorporated in New South Wales, Australia and an authorised licensee of Airfree Services Pty Ltd, governing your access to and use of the Airfree Geospatial platform, APIs, SDKs, documentation, and related services (collectively, the "Services").

By creating an account, clicking "I agree", or otherwise accessing the Services, you confirm that you have the authority to bind the Customer to these Terms. If you do not agree, do not use the Services.

These Terms were last updated on 17 July 2026 and supersede all prior versions. We will give at least 30 days' notice of material changes via the email address associated with your account.

You must provide accurate, complete, and current information when creating an account. You are responsible for all activity that occurs under your account credentials and must promptly notify us at security@airfree.au if you suspect unauthorised access.

You must: (a) use a strong, unique password and enable multi-factor authentication (MFA); (b) not share credentials between individuals; (c) promptly de-provision access for any user who leaves your organisation. Enterprise accounts may manage user access through your configured identity provider via SAML 2.0 or OIDC.

We reserve the right to suspend accounts that exhibit signs of credential compromise or brute-force attempts, and will notify the account owner as soon as practicable.

Subject to these Terms and payment of applicable fees, Airfree grants you a limited, non-exclusive, non-transferable right to access and use the Services for your internal business purposes.

You must not: (a) reverse-engineer, decompile, or disassemble any part of the Services; (b) resell, sublicense, or white-label the Services without a written reseller agreement; (c) use the Services to process data in violation of applicable law, including export controls; (d) upload data containing malware, exploit code, or content that infringes third-party rights; (e) scrape, crawl, or programmatically harvest spatial datasets beyond your licensed quota; (f) use the Services to process data for weapons development, surveillance of individuals without lawful authority, or other activities that contravene human rights standards.

We may monitor usage patterns for abuse detection. Violations may result in immediate account suspension.

Customer Data. You retain all ownership and intellectual property rights in spatial datasets, cadastre records, survey files, and other data you upload to the Services ("Customer Data"). You grant Airfree a limited, worldwide licence to store, process, and transmit Customer Data solely to provide the Services.

Airfree IP. All software, algorithms, APIs, models, documentation, and platform infrastructure are and remain the exclusive property of Airfree and its licensors. These Terms do not convey to you any ownership interest in the Services.

Derived Data. Aggregated, anonymised, and de-identified analytical insights derived from Customer Data that cannot be reverse-engineered to identify you or your customers remain the property of Airfree and may be used to improve the platform.

Open Data. Where the Services facilitate access to publicly available datasets (e.g. national cadastre feeds, open topographic data), those datasets remain subject to their original licences.

Airfree targets 99.9% monthly uptime for Core Services and 99.99% for Enterprise-tier accounts. Uptime is measured as the percentage of minutes in a calendar month during which the Services are available, excluding scheduled maintenance windows (notified at least 48 hours in advance) and force majeure events.

Service credits are available for breach of the applicable uptime commitment: 99.0–99.9% availability = 10% credit; 95.0–98.9% = 25% credit; below 95% = 50% credit. Credits are applied to future invoices and are your sole remedy for service unavailability.

We publish real-time status and incident history at status.airfree.au.

Fees are charged in advance on a monthly or annual basis as set out in your Order Form. All prices are in Australian Dollars (AUD) unless otherwise stated, and exclude GST and any applicable withholding taxes for which you are solely responsible.

Payment is due within 14 days of invoice. Overdue invoices accrue interest at 2% per month. We may suspend Services on accounts that are 30 or more days overdue after written notice.

Annual subscriptions are non-refundable except where required by the Australian Consumer Law. Monthly subscriptions may be cancelled at any time; you will retain access until the end of the paid billing period.

Usage-based charges (API calls, storage overages) are billed monthly in arrears based on metered consumption. You may set spend caps in your account dashboard.

Airfree processes personal data as both a Data Controller (for account and billing data) and a Data Processor (for Customer Data you upload). Our processing as Data Processor is governed by the Data Processing Agreement (DPA) available at airfree.au/geospatial/legal/dpa, which is incorporated into these Terms by reference.

We are committed to compliance with the EU General Data Protection Regulation (GDPR), the Australian Privacy Act 1988 (Cth), and equivalent legislation in jurisdictions where we operate. Customer Data is processed only in accordance with your documented instructions.

You may select your preferred data residency region. We do not transfer Customer Data to third countries without appropriate safeguards (Standard Contractual Clauses or equivalent). A full list of sub-processors is available at airfree.au/geospatial/legal/sub-processors.

Each party ("Receiving Party") agrees to hold the other party's Confidential Information in strict confidence, using at least the same degree of care it uses for its own confidential information, and not less than reasonable care.

"Confidential Information" means non-public technical, business, or financial information disclosed by one party to the other. It does not include information that: (a) becomes publicly available through no breach of these Terms; (b) was already known to the Receiving Party; (c) is independently developed; or (d) is required to be disclosed by law or court order (after reasonable notice to the Disclosing Party).

Confidentiality obligations survive termination of these Terms for a period of five (5) years.

To the maximum extent permitted by applicable law, neither party shall be liable to the other for any indirect, incidental, consequential, special, or punitive damages, including loss of profit, revenue, data, or business opportunity, arising out of or related to these Terms, even if advised of the possibility of such damages.

Airfree's total aggregate liability to Customer for any and all claims arising under or related to these Terms shall not exceed the greater of: (a) the total fees paid by Customer to Airfree in the 12 months immediately preceding the event giving rise to the claim; or (b) AUD $10,000.

Nothing in these Terms limits liability for: (i) death or personal injury caused by negligence; (ii) fraud or fraudulent misrepresentation; (iii) breach of the Australian Consumer Law where such limitation is not permitted; or (iv) wilful misconduct.

Either party may terminate these Terms on 30 days' written notice. Either party may terminate immediately if the other: (a) materially breaches these Terms and fails to cure within 14 days of written notice; (b) becomes insolvent, enters administration, or ceases business operations; or (c) is the subject of a change of control to a direct competitor.

Upon termination, your right to access the Services ceases immediately. We will make Customer Data available for export for 30 days post-termination, after which it will be securely deleted. Accrued payment obligations, confidentiality obligations, limitation of liability, and governing law provisions survive termination.

These Terms are governed by the laws of New South Wales, Australia. The parties submit to the exclusive jurisdiction of the courts of New South Wales for any dispute arising out of or in connection with these Terms.

Before commencing litigation, the parties agree to escalate unresolved disputes to senior representatives for good-faith negotiation for a period of 30 days. If unresolved, disputes shall be referred to mediation under the Australian Disputes Centre rules before proceedings are issued.

Nothing in this clause prevents either party from seeking urgent injunctive relief.

Airfree Geospatial Pty Ltd holds a product sales and marketing licence from Airfree Services Pty Ltd. All intellectual property in the Services is owned by Airfree Services Pty Ltd and licensed to Airfree Geospatial Pty Ltd under that arrangement.
